These Terms of Service (the "Terms") constitute a legally binding agreement between you ("Customer", "Licensee" or "you") and IGAXMING N.V., a private company organised under the laws of Curaçao, with corporate seat at Heelsumstraat 51, E-Commerce Park, Curaçao ("IGAXMING", "we", "us" or "our").

By accessing, registering for an account on, purchasing a licence through, downloading software from, or otherwise using igaxming.com, the IGAXMING customer portal, the IGAXMING software (including the iGaming Core Engine, game packs, white-label modules and any updates or derivatives thereof — collectively the "Software") or any related documentation, APIs or services (collectively the "Services"), you confirm that you have read, understood and agree to be bound by these Terms.

If you do not agree, you must immediately discontinue all use of the Services. If you act on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms and "you" shall refer to that entity.

The Services are intended exclusively for businesses and qualified professionals operating in (or preparing to operate in) the iGaming, online gambling and Web3-casino sectors. You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) and legally capable of entering into binding contracts.

You agree to: (i) provide accurate, current and complete information during registration; (ii) keep your account credentials confidential; (iii) accept responsibility for all activity occurring under your account; and (iv) immediately notify us at security@igaxming.com of any unauthorised use.

We may, at our discretion, refuse to open an account, suspend it or terminate it if we have reasonable grounds to believe that the account has been created or used for fraudulent, illegal, sanctioned or otherwise prohibited purposes.

Subject to your full and ongoing payment of the applicable fees and your compliance with these Terms, IGAXMING grants you a non-exclusive, non-transferable, non-sublicensable, revocable licence to:

• install and operate the Software on the number of authorised domains permitted by your subscription tier;
• access, view and modify the source code only to integrate or customise the Software for your own operations;
• use the documentation, APIs and game packs included in your tier in accordance with their respective scope.

The licence is granted for the term specified in your order (perpetual for the Core / Full Empire packs, subscription-based for Enterprise, unless otherwise agreed in writing). The licence is automatically tied to the authorised domain(s) registered in your customer portal and verified by our licence server.

You shall not: (i) resell, redistribute, sublicense, lease, rent or share the Software with any third party; (ii) remove or alter any proprietary notices, copyright notices or licence verification mechanisms; (iii) attempt to defeat, bypass or disable any technical protection measure; (iv) use the Software to operate a "white-label" or "SaaS" offering for unaffiliated third parties unless you hold a specific written authorisation; (v) use the Software in any jurisdiction where its use is illegal.

All fees are quoted in United States Dollars (USD) unless otherwise specified. Prices for licences, add-ons, additional domains and Enterprise services are displayed on the website at the time of purchase or in the bespoke order form.

Licence fees are non-refundable except as expressly provided in our Refund Policy. Payment is processed through third-party providers (currently PayPal and NowPayments for crypto) and is subject to their respective terms; you authorise these providers to debit the amount due.

You are responsible for all applicable taxes, duties and similar levies (including VAT, GST, withholding tax, gaming-tax and stamp duty) imposed by your jurisdiction. Where required by law, IGAXMING will issue tax-compliant invoices.

If a payment is reversed, charged back or otherwise fails after delivery of the Software, IGAXMING reserves the right to immediately revoke the licence and suspend the customer account until the underlying balance is settled in full.

Customers on Core Pack receive security updates for twelve (12) months from the date of purchase. Customers on Full Empire and Enterprise tiers receive lifetime feature and security updates for the licensed software version line, plus the level of technical support described in their order. Support is provided in English; additional languages may be available subject to staff availability.

Maintenance windows may be scheduled with reasonable advance notice through the customer portal. IGAXMING does not warrant uninterrupted operation but commits to commercially reasonable efforts to maintain 99.9% availability of the licensing infrastructure.

IGAXMING provides software, not gambling operations. You are solely responsible for: (i) obtaining and maintaining any gambling, gaming, betting, lottery, money-services-business or similar licences required to operate the Software in your jurisdiction(s) of intended use; (ii) complying with all applicable laws, including AML/CFT, tax, consumer-protection, advertising, data-protection and responsible-gaming laws (see our AML/KYC Policy and Responsible Gaming commitments); (iii) implementing player-protection tools, geolocation enforcement and self-exclusion mechanisms; (iv) settling all winnings to players in accordance with your published rules and applicable law.

You agree to indemnify, defend and hold IGAXMING harmless from any claim, demand, proceeding, fine, penalty or loss arising out of your failure to obtain a required licence, or your violation of applicable law in connection with your operation of the Software.

The Software, including its source code, object code, design, structure, user interface, documentation, trademarks, logos and any IGAXMING-provided game content, is and remains the exclusive property of IGAXMING N.V. and its licensors. All rights not expressly granted to you are reserved.

You retain ownership of your own customisations, configurations, branding assets, player data and any content you upload, subject to a limited licence to IGAXMING to use such material strictly as necessary to provide the Services (e.g. caching, distribution, support).

You shall not use the Software or Services to: (i) target players in jurisdictions where online gambling is unlawful or where you do not hold the necessary licence; (ii) operate any game with non-transparent or rigged Random Number Generation (the Software includes Provably-Fair primitives — disabling them is forbidden); (iii) facilitate money laundering, terrorist financing, sanctions evasion or any other financial crime; (iv) infringe the intellectual-property rights of any third party; (v) introduce viruses, malware or harmful code; (vi) probe, scan or test the vulnerability of IGAXMING infrastructure other than through our coordinated disclosure programme.

The Software and Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted operation. IGAXMING does not warrant that the Software will be free from defects, errors or vulnerabilities, nor that it will be compatible with all third-party systems.

To the maximum extent permitted by applicable law, IGAXMING's aggregate liability for any and all claims arising out of or relating to these Terms or the Services shall not exceed the amount actually paid by you to IGAXMING in the twelve (12) months preceding the event giving rise to the claim. In no event shall IGAXMING be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, players, goodwill, data or business opportunity, even if advised of the possibility of such damages.

The limitations in this section do not apply to liability that cannot be excluded under applicable law (e.g. gross negligence, wilful misconduct, fraud or death/personal injury caused by IGAXMING).

IGAXMING may suspend or terminate your access to the Services and revoke your licence, immediately and without prior notice, in the event of: (i) breach of these Terms not cured within fifteen (15) days of written notice (or immediately for material breaches); (ii) reasonable suspicion of fraud, money laundering, sanctions violation or illegal use; (iii) chargeback, reversal or non-payment; (iv) a court order or regulatory directive.

Upon termination, the licence terminates automatically, you shall cease all use of the Software and destroy any copies in your possession. Provisions that by their nature should survive termination (including IP, warranty disclaimer, liability, indemnity and governing law) shall survive.

We may amend these Terms from time to time to reflect changes in our Services, law or industry practice. The "Last updated" date at the top of the document indicates the date of the latest version. We will use reasonable efforts to notify you of material changes in advance (e.g. via the customer portal or by email). Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

These Terms are governed by the laws of Curaçao, without regard to its conflict-of-laws principles. The Parties shall attempt in good faith to resolve any dispute through negotiation. Any dispute not so resolved shall be submitted to the exclusive jurisdiction of the competent courts of Willemstad, Curaçao, save that IGAXMING may seek injunctive relief in any court of competent jurisdiction to protect its intellectual-property rights.
